Subject: DC Cook Senior Vice President Mr. A. C. Bakken III Resignation  

Discussion:

On August 12, 2003, AEP announced the resignation of D.C. Cook Senior    
Vice President Mr. A. C. Bakken III. Mr. Bakken has been responsible for 
oversight of AEP's Cook Nuclear Plant in Bridgman, Michigan, and AEP's 25
percent ownership of the South Texas Project Electric Generating Station 
in Bay City, Texas, since October 2001. Bob Powers, Executive Vice       
President - Generation, will oversee Mr. Bakken's responsibilities while 
the company conducts a search for Mr. Bakken's replacement. Mr. Powers   
was AEP's Executive Vice President - Nuclear and Technical Services until
he assumed responsibility for all AEP generation in March 2003.
