Subject: Management Changes in FirstEnergy Nuclear Operating Co.         

Discussion:

FirstEnergy Nuclear Operating Company (FENOC) President Bob Saunders
announced several newly created positions within FENOC as well as a
realignment of managers at Beaver Valley and Davis-Besse. The changes    
take effect May 5, 2003.                                                 
                                                                         
Mark Bezilla, Site Vice President of Beaver Valley, will become Site Vice
President and Plant Manager at Davis-Besse. FENOC Chief Operating Officer
Lew Myers, who held the Site Vice President position at Davis-Besse in   
addition to Chief Operating Officer (COO), will continue to function as  
COO as well as overseeing regulatory activities related to the           
Davis-Besse restart.                                                     
                                                                         
Bill Pearce, Vice President of FENOC Oversight, will be promoted to Site 
Vice President of Beaver Valley, and Fred von Ahn, Director of Nuclear   
Engineering at Beaver Valley, will be promoted to Vice President of FENOC
Oversight.                                                               
                                                                         
Randy Fast, Plant Manager at Davis-Besse, will move to a newly created   
position as Director of Organizational Development at Davis-Besse to     
oversee activities regarding the plant's safety culture and safety       
conscious work environment.                                              
                                                                         
Mike Ross, Manager of Operations Effectiveness and Acting Director of    
Support Services, will continue his role as Restart Director at          
Davis-Besse.
