Subject: D.C. COOK MANAGEMENT CHANGE

Discussion:

On February 22, 2002, Joseph E. Pollock was named site vice president for
American Electric Power Company's (AEP) Cook Nuclear Plant. Mr. Pollock's
prior position was plant manager at Cook Nuclear Plant. The site vice
president position has been vacant since last October, when A.
Christopher Bakken, III, was named senior vice president and chief
nuclear officer. Michael J. Finissi was named to replace Mr. Pollock as
plant manager. Mr. Finissi is currently attending senior reactor operator
training at Cook, and plans to assume the duties of plant manager in the
Fall 2002 when his training is complete. Mr. Finissi's prior position was
plant engineering director.
