Subject: FPL GROUP, INC. AND ENTERGY CORPORATION TO MERGE

Discussion:

On July 31, 2000, FPL Group, Inc. and Entergy Corporation announced that
they have agreed to combine in a merger of equals.  Florida Power & Light
Company is the principal subsidiary of FPL Group. Mr. J. L. Broadhead,
Chairman and Chief Executive officer of FPL Group, Inc , will serve as
chairman of the combined company, and Mr. J. W. Leonard, Chief Executive
Officer of Entergy Corporation, will become president and chief executive
officer. The merged company will locate its corporate headquarters in
Juno Beach, Florida and will have its utility group headquarters in New
Orleans, Louisiana. The completed transaction of this merger is planned
to be completed within 15 months.
