Subject: MANAGEMENT CHANGES

Discussion:

The licensee announced the forthcoming management changes. On July 1,
1999, Mr. Gary VanMiddlesworth will become the Site General Manager and
will continue to retain the title of Plant Manager. Mr. VanMiddlesworth
shall be responsible for the overall unit operation, including all site
activities. The Quality Assurance manager will continue to report
directly to the vice president. Mr. David Wilson, Assistant Vice
President, Nuclear, previously responsible for all site activities, shall
be responsible for the development and oversite of the business alliance
between Alliant Energy, Northern States Power, Wisconsin Electric Power
Company, and Wisconsin Public Service Company.

Subject: Asset Purchase Agreement between Illinois Power and AmerGen
         Energy Company


Discussion:

Illinois Power Company and AmerGen Energy Company signed an asset
purchase agreement under which AmerGen will purchase and operate the
Clinton Power Station. The final step toward completing the sale is to
secure approvals from the NRC and other governmental and regulatory
agencies.
