Subject: MANAGEMENT CHANGES AT CLINTON POWER STATION AND ILLINOVA AND
         DYNEGY AGREE TO MERGER


Discussion:

Mr. Paul Hinnenkamp has been named the new Plant Manager at Clinton Power
Station effective June 14, 1999. Mr. Hinnenkamp was previously Assistant
Plant Manager for Operations and replaces Mr. George Hunger who has been
Plant Manager since January 1998. Mr. Hunger will assume other duties
within the organization. Mr. Vince Cwietniewicz, who was the Maintenance
Manager, has been named the Director of Nuclear Training. Mr. Richard
Schenck has been named the new Maintenance Manager.

In addition, Illinova Corporation and Dynegy Inc. today announced
agreements for the merger of Illinova and Dynegy. Illinois Power Company
is a subsidiary of Illinova and is the licensee for Clinton Power
Station. The merger is conditioned, among other things, upon the
completion of the previously announced pending sale of Clinton Power
Station and regulatory approvals. The merger is expected to close by the
end of the first quarter of 2000.

Subject: New Plant Manager Named for LaSalle

Discussion:

On June 11, 1999, Jeff Benjamin, LaSalle County Station Site Vice
President, announced that Jim Meister will be replacing Tim O'Connor as
the new Station Manager for LaSalle effective June 25, 1999. Mr. O'Connor
has accepted a position with Public Service Electric & Gas in New Jersey.

Mr. Meister is currently the LaSalle Engineering Manager, a position he
assumed in January 1999, after serving as the Unit 2 Engineering Manager
since July 1998. Prior to joining LaSalle, Mr. Meister had served as
Engineering Manager at ComEd's Braidwood Station since 1994, and had
worked for Sargent and Lundy prior to joining ComEd. A new LaSalle
Engineering Manager has not yet been named.
